These Terms of Use govern your use of Milestone Websites. With the word “Sites”, we refer to each and all of the websites which can be accessed, without using a link, when you have entered www.milestonesys.com. Please read these Terms of Use carefully prior to using the Sites; when you use the Sites, you agree to these Terms of Use as a condition for using our Sites. If you do not agree, please do not use the Sites.

Privacy Policy and Cookie Policy

When you visit our Sites, you will find many ways to get in contact with Milestone, and you will be asked to provide your contact data. If you choose to provide your contact information or other personal data, Milestone will use your personal data in accordance with our Privacy Policy found here, where you also find information on your privacy rights. Milestone responds to requests on disclosure, correction, addition, or deletion on personal data from the person who provided the personal data. Milestone uses cookies to make interactions with our Sites easy and meaningful to better understand how they are used, and to tailor our advertising. You can find our cookie policy here.

Change of Terms of Use and Sites

Milestone may from time to time, and at our sole discretion, revise or modify these Terms of Use by updating this posting. You should therefore periodically visit this Site to review the current Terms of Use. You accept the Terms of Use as amended when you use the Sites after their posting. If you do not agree to the changes, you must stop using the Sites. Milestone may also update, change, and modify our Sites and our policies from time to time, at our sole discretion.

Your Use of the Sites

You may be a visitor who wants to learn more about Milestone’s products and services, or you may already be or want to become a partner in our Milestone Community. Milestone’s products and services are provided by Milestone under separate agreements, and when you visit the Sites, you will be presented to those additional terms to become part of your agreement with us. If you want to join as a Milestone partner you must enter into agreements with Milestone. If you represent a company or other legal entity, and you sign for that entity to become a party to agreements with Milestone, you also represent that you have the authority to bind such entity.

Please do not use the Sites in ways that may violate any laws, infringe on anyone’s rights, is offensive, or interfere with the Sites or any features on the Sites, or is a violation of these Terms of Use. If, in our sole discretion, Milestone determines that you have acted inappropriately, we reserve the right to terminate your accounts, prohibit you from using the Sites, and Milestone may take appropriate legal actions.

User Account and Login

You may join our Milestone Community by creating an account with us, such as My Milestone www.milestonesys.com/my-milestone. To open the account, you will need to provide personal data. You must be at least 18 years old, and you must provide truthful and accurate information. If your information changes at any time, please update your account. Your employer may as an administrator of an account request you to be assigned to the account, which you will have to confirm. Milestone may apply login requirements, and you will then need to open with your data and/or specific password. You may not share your account with anyone, however, a company’s account may be shared by designated employees. You are solely responsible for all activities that occur on your login account. If passwords are required to login to a Site, you may not share your password and you are responsible for actions on the Sites made using your password. You agree to notify Milestone immediately upon knowledge of any use of your account, login date and/or password that you did not authorize or that is not authorized by these Terms of Use.  

The personal data (such as name, company information, contact data) that is collected on your accounts may be used or shared with Milestone’s group companies. As a party to Milestone Community, your name and company name may also be visible to other members of the Milestone Community.

Your Postings

Users may have access to make postings on our Sites, such as, but is not limited to, user feedback, opinions, reviews, suggestions, input, data, news, comments, pictures, questions and/or other content (“Content”). You acknowledge and agree that community forums on the Sites have public spaces and that postings which you communicate may be seen and used by others. You understand that Milestone employees, partners of Milestone Community, outside contributors, or other users of the Sites may participate in the community forums and public spaces. If you choose to make any of your personal information or other content publicly available in a community forum or on other public spaces through the Sites, you do so at your own risk.

Due to the large amount of Content that is published, it is impossible for Milestone to monitor all activities, and you acknowledge that Milestone has not pre-approved or endorsed user provided Content and that Milestone is not responsible to screen, monitor, or otherwise control Content that users provide. You acknowledge that Milestone has the rights, without further justification, to remove any Content that is published on the Sites. Milestone will remove content which we determine, at our sole discretion, is in conflict with applicable laws, government regulations, third-party rights, or opposes to Milestone policies for compliant behavior, including as stated in these Terms of Use, as amended from time to time.  

You are responsible for all the Content you upload to the Sites. By providing Content you agree to hold Milestone and our group companies, harmless against any and all losses, damages, costs, liabilities and expenses (including without limitation legal expenses) incurred or suffered by Milestone and arising directly or indirectly out of Content you have uploaded on the Website.

You must ensure that your Content is lawful and that you have all necessary right to use it. You must assure that your Content does not infringe third-party rights, such as but not limited to copyrighted text and images, and that your Content does not display fraudulent, libelous or otherwise unlawful or tortious material, or is a violation of other persons or entities privacy or confidentiality rights, and that your Content does not include obscene or other harmful material. You cannot use the Sites for disruptive purposes nor using deceptive e-mail addresses or the like. You may not post Content which lure readers into other websites, or which contains any form of advertising or solicitation on Sites not intended for that purpose, or if the Content is e-mailed to users, who do not wish to be contacted about other services, products or commercial interests that contain links to commercial services or websites where it is not expressly permitted.

If you are given access to upload Content, you may not upload irrelevant Content, repeat such uploading or otherwise degrade or strain the Sites’ infrastructure with unreasonable or disproportionately large amounts of data, or upload, link to, or install software that contains viruses or other computer code, files or programs designed to interrupt, destroy, or limit the use of other software and hardware, or use automated methods, including scripts, spiders, robots, crawlers, data mining tools, or similar software to download data from or upload data to the Sites.

You shall report to Milestone if you learn of any unlawful or unethical material or activity on our Sites, or of any material or activity that breaches the policies made known to you under these Terms of Use.

Sites with Third Party Content Available

You can interact on the Sites and get in touch with our partners in Milestone Community and other third parties. You may submit or exchange data, and if you request a third party to reply to questions on products or services, you must agree to have your personal data shared with the third party and Milestone. Please see the sections on “Personal Data” and “Your Postings” above.

When the Sites showcase third parties’ products and services. Milestone does not endorse or warrant the products or services as referenced or showcased on the Sites, regardless if such products are intended to interoperate with Milestone products and services. References to third parties’ products and services may include instructions on how to get more information about, and/or purchase, the third parties’ products and services, and all such references on the Sites are provided as a convenience to you. You may enter into contracts with a third party. Any such engagements or contract efforts and exchange of data will be made in your name and are solely between you and the third party.

Milestone does not warrant our partners’ products and services, whether or not they are designated by Milestone as “verified” or otherwise, unless expressly provided otherwise by Milestone in a written agreement. If an application, hardware or service is “verified” by Milestone, this shall mean that Milestone has reviewed the application or device documentation for the specific use case described by the partner as of the date of such review, and based on this documentation, solely, to the best of our knowledge it will work with Milestone’s VMS.

Third parties’ applications, hardware, or services on the Sites may reference, or cross-reference, to Milestone’s products, programs and or services that might not be available in your location. Such references do not imply that Milestone plans to make the products, whether software or hardware, nor programs or services available in your location.

IPR and Copyright Notice

The Sites and the content provided is the intellectual property and copyrighted works of Milestone or third-parties, including Milestone partners.

You shall assume that everything you see or read on the Sites is protected by copyright or trademark, unless otherwise indicated. No content on the Sites may be interpreted as granting you any kind of license or right to Milestone, or third-party trademarks, copyrights or other intellectual property rights. Any use of Milestone’s trademarks, copyrights or other intellectual property rights is strictly prohibited, unless Milestone has given you prior written consent for such use.

You do not transfer ownership of your Content simply by posting it. Any communication or material you transmit to the Sites by email, by posting, or in any other format - this could include, but is not limited to, feedback, opinions, reviews, suggestions, input data, comments, questions or the like - will not be treated as confidential or proprietary, and you acknowledge and accept that it may be used by Milestone free of charge, and you grant Milestone and our group companies a global, royalty free, unconditional, perpetual, irrevocable, transferable, and non-exclusive right and license to display, adopt, publish, reproduce, transmit, distribute, copy, and lawfully use such Content. With this license, Milestone and its group companies may, without asking your permission, refer to and/or mention your Content in our media, across our titles and in other formats.  Milestone may also use any ideas, concepts, techniques and know-how contained in what you post on the Sites for any lawful purpose. This can mean, among other things developing, manufacturing and marketing products using such information. This license to Milestone granted above shall not include your direct communication to specific partners, using closed forums, even though the communication may also be accessible to Milestone as provider of the Site.

Disclaimers of Warranties and Liabilities

Use of the Sites is at your own risk. Milestone does not make any specific promises about the Sites and we do not make any commitments about specific functions of the Sites or their reliability, availability, or ability to meet your needs.  Milestone is not responsible for and assumes no liability for damages or viruses that may infect your software, systems, equipment or other property on account of your access to or use of the Sites. The same applies to your downloading of any text, images, materials, data, video, or sound or other material from the Sites.

You are informed that content as displayed by Milestone, our partners, or other third parties and all documents, software, and any other materials, and information presented on the Sites are provided on an “AS IS” basis. Unless explicitly stated otherwise, Milestone and our Partners do not make any warranties of any kind, whether express, implied, statutory or otherwise, and specifically disclaims all implied warranties, including any warranties of merchantability or fitness for a specific purpose to the maximum extent permitted by applicable law.

Due to the large amount of content that is published, it is impossible for Milestone to monitor all activities, and Milestone cannot control all content that is made available on the Sites. Milestone assumes no liability for errors and omissions in the content of the Sites. Milestone is not responsible for, and do not endorse, content posted by any other person or entity. Similarly, the Sites may contain advertisements from third parties, and Milestone does not control nor endorse any products being advertised. Accordingly, we may not be held liable, directly or indirectly, for any loss or damage caused to you in connection with any content posted by others on the Site. 

The Sites include links which refer you directly or indirectly to access and use a third party website, including our partners’ sites and social networks. The links does not imply that Milestone controls or endorses those websites, or any goods or services sold on those websites. Your use hereof and the content and services provided through such third party websites, is governed by the terms of use and other agreements posted on these third party websites and Milestone disclaims any express or implied warranty in regard to accuracy, legality, reliability or validity of any content of third party websites. If you chose to visit websites that are linked to from the Sites, you do so solely at your own risk. Milestone is not liable for any loss, damage, or claim under any theory of liability, that are the result of your visit to third party websites which are directly or indirectly accessible via Milestone’s Sites.

Liabilities and Limitations on Liabilities

Subject to the disclaimers, exclusions, and limitations on liabilities stated in these Terms of Use, Milestone shall be liable under the principles of Danish laws.

Neither Milestone nor others involved in creating, producing or publishing the Sites shall have any liability to you for any lost profits or revenue or for any indirect, special, incidental, consequential, or punitive damages, including, but not limited to, loss of profit, time, goodwill, data or damage to records of data, computer failure, or the violation of your rights by any third party, or loss as a consequence of any kind of business interruption arising out of your access or use of Milestone’s Sites, or any inadequate or faulty performance hereof, whether in contract, tort, or under any other theory of liability, and whether or not Milestone has been advised of the possibility of such damages. The foregoing disclaimer shall not apply to the extent prohibited by applicable laws.  

Law, jurisdiction and Venue:

Your use of our Sites as well as these Terms of Use and any disputes arising out of or related thereto shall be governed by and construed in accordance with Danish law without giving effect to its conflicts of laws rules or the United Nations Convention on the International Sale of Goods. You expressly agree that any disputes arising out of or related to our Sites and these Terms of Use including its existence, validity, or termination, shall be finally settled before the Courts of Denmark. If it turns out that a particular provision in these Terms of Use is not enforceable, that will not affect any other provision.
